Terms & Conditions

0. What PedidoIQ is (and is not)

PedidoIQ is operated by NeuraCode Systems Inc, a New Jersey corporation doing business as DigiAxix. PedidoIQ provides software and online listings for restaurants. It does not prepare, sell, handle, deliver or inspect food, and it is not a party to any order, reservation or payment between a diner and a restaurant.

Each restaurant alone is responsible for its food, food safety, allergen and ingredient information, hygiene, licences and permits, prices, deliveries, staff and compliance with the law. Claims about any of these must be made against the restaurant.

Some restaurant pages are created by PedidoIQ from public information before the restaurant joins. They say that they are not managed by the restaurant, they may be out of date, and the owner can claim them or ask for their removal (section 6).

1. Definitions

  • Platform — the PedidoIQ web application at pedidoiq.app and all its subdomains
  • Restaurant owner — a business that registers or claims a restaurant on the Platform, and the people acting for it
  • Diner — anyone who views a restaurant's page, places an order or makes a reservation through the Platform
  • Partner — a person or business that refers restaurants to the Platform
  • Content — menus, photos, logos, text and any other material uploaded to the Platform

2. Restaurant owner accounts

By registering or claiming a restaurant, you agree that:

  • You are authorised to run the restaurant and to accept orders for it
  • Menu prices, descriptions, allergen information and availability are accurate and kept up to date
  • You are responsible for food safety, preparation, delivery and every legal requirement that applies to your restaurant
  • You keep your login safe and are responsible for what is done with your account and your staff's accounts
  • You handle your diners' personal data lawfully and only for your restaurant's own orders and reservations

3. Orders, reservations and payments

  • An order or reservation made through the Platform is a contract between the diner and the restaurant only
  • Payment for orders is handled and collected by the restaurant directly. PedidoIQ does not collect, hold or transfer money for orders between diners and restaurants, and charges no commission on any order
  • Each restaurant sets its own refund and cancellation policies
  • Any dispute about an order or reservation — including quality, delivery, cancellation, refund, allergens or illness — is between the diner and the restaurant

4. Subscription and fees

  • Restaurant owners choose a subscription plan, including a free tier
  • Subscription fees are charged monthly or yearly through Stripe; PedidoIQ does not store card details
  • Subscription fees are not refundable, including when a dispute arises between a restaurant and its diners
  • You can cancel your subscription at any time; access continues until the end of the billing period

5. Acceptable use

You agree not to:

  • Use the Platform for any unlawful purpose
  • Try to access other restaurants' data or systems
  • Reverse-engineer, scrape or access the Platform automatically beyond its intended use
  • Upload malicious code, spam, misleading information or Content you have no right to use
  • Use the AI features to produce unlawful, misleading or infringing content

6. Your content, copyright and removal

Whoever uploads Content must own it or have permission to use it, and must credit its author where the licence requires. The uploader is solely responsible for it and will indemnify PedidoIQ against claims arising from it.

Restaurant owners keep ownership of their Content. By uploading it you give PedidoIQ a non-exclusive, worldwide, royalty-free licence to host, display and adapt it (for example, resize images) on the Platform and in links to the Platform, for as long as it is on the Platform.

Copyright notices. Tell us (1) the work you say is infringed, (2) the address of the page where it appears, (3) your contact details, (4) that you believe in good faith the use is not authorised, and (5) that your notice is accurate and that you own the work or may act for its owner. We remove Content that a valid notice identifies, may inform the uploader, and close the accounts of repeat infringers. Send notices to [email protected].

A restaurant that did not create its page can ask us to remove it with the link on that page or by writing to [email protected].

7. AI features

Some features use artificial intelligence: the chat assistant on restaurant pages, the PedidoIQ support chat, the owner assistant in the restaurant dashboard, and help writing blog content. They run on an AI model hosted either on our own servers or by an outside AI service provider acting on our behalf, as the Privacy Policy describes.

  • AI answers can be wrong. Prices, allergens, ingredients and availability must be confirmed with the restaurant.
  • The owner assistant only proposes changes; nothing changes until the owner confirms. The owner is responsible for every change they confirm.
  • Do not enter sensitive personal data — such as health, financial or identity-document information — in a chat.

8. PedidoIQ's intellectual property

The PedidoIQ platform, brand and technology belong to NeuraCode Systems Inc (DigiAxix). Nothing in these Terms transfers them to you.

9. Indemnity

To the extent permitted by applicable law, restaurant owners will defend and indemnify PedidoIQ, NeuraCode Systems Inc (DigiAxix) and its staff, including reasonable legal costs, against any claim arising from their food, any illness or injury, allergens, their menu and prices, their orders, deliveries and reservations, their premises and staff, the Content they upload, and their handling of diners' personal data.

10. Disclaimers and limitation of liability

The Platform is provided "as is" and "as available". We aim for high availability but do not guarantee uninterrupted or error-free service.

To the extent permitted by applicable law, PedidoIQ is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data — including losses caused by downtime, by errors in data a restaurant provides, or by third-party services.

To the extent permitted by applicable law, PedidoIQ's total liability for all claims relating to the Platform is limited to the fees the restaurant paid PedidoIQ in the 12 months before the claim arose or, for a diner, USD 100.

Some places do not allow these exclusions or limits. Where that is so, they apply only as far as the law allows, and nothing in these Terms limits liability that the law does not allow to be limited.

11. Termination

We may suspend or close accounts that break these Terms. Restaurant owners can ask us to close their account at any time. When a restaurant is deleted, its subdomain is released and its data is handled as the Privacy Policy describes.

12. Partner program

Partners who refer restaurants to PedidoIQ can earn commissions as described on the Partners page. Commission rates and terms may change with 30 days' notice.

13. Governing law

These Terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict-of-law rules. Diners also keep the protection of the mandatory consumer laws of the place where they live.

14. Disputes

14.1 Restaurant owners and partners — please read this carefully; it affects your rights

Any dispute between a restaurant owner or partner and PedidoIQ arising from these Terms or the Platform will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, held online or in New Jersey. Either side may instead bring an individual claim in small-claims court if it qualifies.

By accepting these Terms, you and PedidoIQ each give up the right to go to court and to have a jury trial, except in small-claims court. Claims may only be brought individually, never as a plaintiff or class member in any class, collective or representative action.

You can opt out of this arbitration agreement within 30 days after you accept these Terms — or, if your account existed before these Terms took effect, within 30 days after they took effect — by sending your name, your restaurant or partner account and the words "I opt out of arbitration" to [email protected].

If the class-action waiver is found unenforceable for a claim, that claim goes to the state or federal courts in New Jersey, and the rest of this section still applies.

14.2 Diners

Diners do not have to arbitrate. A diner's dispute with PedidoIQ goes to the courts of New Jersey, USA, or to a small-claims court, and the diner keeps every mandatory consumer right of the place where they live. Disputes about food, orders and reservations are with the restaurant (section 0).

14.3 Time limit

To the extent the law allows, a claim must be brought within one year after it arises.

15. Changes to these Terms

We may update these Terms. We give restaurant owners at least 30 days' notice by email and in the dashboard before a change to these Terms takes effect. Using the Platform after the notice period means you accept the change. Earlier versions stay available on this page.

The Privacy Policy, and the operational details it lists — our service providers, how the AI features are hosted, and our contact addresses — may change at any time without notice. The version in force is always the one published on the Platform.

16. Severability and entire agreement

If any part of these Terms is found unenforceable, the rest stays in effect and that part applies as far as the law allows. These Terms, the Privacy Policy and the plan terms shown when you subscribe are the whole agreement between you and PedidoIQ about the Platform. If we do not enforce a right, we have not given it up.
